Terms & Conditions

1. Services

Enigma Ventures provides custom software development services including but not limited to full-stack development, AI integration, SaaS development, API integrations, and blockchain automation. The specific scope of services for each project is defined in a written proposal agreed upon by both parties before work begins.

2. Project Proposals & Fixed Pricing

All projects are undertaken on a fixed-price basis unless otherwise agreed in writing. A written proposal will outline the deliverables, timeline, and price. Any work outside the agreed scope will be quoted separately before proceeding.

3. Payment Terms

Payment schedules are defined per project in the proposal. Typically a deposit is required before work begins, with the remainder due upon delivery or at agreed milestones. Late payments may result in work being paused until the outstanding balance is settled.

4. Intellectual Property

Upon receipt of full payment, all custom code and deliverables produced for a client become the property of that client. Enigma Ventures retains the right to use the project as a portfolio reference unless the client requests confidentiality in writing.

5. Confidentiality

We treat all client project details, business logic, and data as confidential. We are happy to sign an NDA prior to any detailed scoping discussion. This obligation continues after the project is complete.

6. Warranties & Liability

We warrant that our work will be delivered with reasonable skill and care. We do not guarantee uninterrupted or error-free operation of software in all environments. Our total liability is limited to the amount paid for the specific project in question.

7. Termination

Either party may terminate a project engagement with 14 days written notice. In the event of termination, the client is liable for payment for all work completed up to the termination date.

8. Governing Law

These terms are governed by the laws of Germany. Any disputes will be subject to the jurisdiction of German courts. For international clients, both parties agree to attempt resolution through good-faith negotiation before pursuing legal remedies.
